These Website Terms of Use ("Terms") govern access to https://www.solerta.ai and related public pages, forms, demonstrations, website-review tools, content, and online features operated by Solerta, LLC, a California limited liability company ("Solerta," "we," "us," or "our"). By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.

Business Information
Solerta provides AI operational assessment, agent architecture, development, automation, integration, website, managed Agent, and related business services. Website content is general information and does not create a professional-services relationship unless Solerta accepts an Order or signs an agreement.


Eligibility and Authority
You must be legally able to form a binding agreement. If you use the website for an organization, you represent that you are authorized to act for it. Services displayed for business customers are intended for commercial use unless expressly stated otherwise.


Accounts and Information
You must provide accurate information and protect account credentials. You are responsible for activity under your account and must notify us at solutions@solerta.ai of suspected unauthorized access. We may refuse, suspend, or terminate access for inaccurate information, security risk, abuse, unlawful use, or violation of these Terms.


Quotes, Orders, and Separate Agreements
Website descriptions, availability, ranges, promotional offers, and generally available prices may change before purchase. An Order is accepted only when confirmed by Solerta or its platform. The exact fees, discounts, quantities, recurring cadence, and approved expenses shown in the accepted Order control that purchase. Paid assessments, Agent Packages, recurring Managed Agent Services, website builds, Voice Services, and enterprise services are governed by the specific agreement, Order, proposal, statement of work, and policies presented at purchase or signature. Those documents control if they conflict with these Terms.


AI and Automated Features
Some website features, including DaVinci, use artificial intelligence or automation. They may generate inaccurate, incomplete, biased, outdated, or fabricated results. Outputs are informational and must be independently evaluated. Do not submit confidential, privileged, regulated, or highly sensitive information through a public AI feature unless the feature expressly authorizes it and provides appropriate terms.


Permitted Use
You may use the website for lawful evaluation of Solerta and its services. You may not interfere with the website, probe or bypass security, scrape at disruptive scale, reverse engineer nonpublic technology, submit malicious instructions or code, impersonate others, violate rights, use outputs to harm or deceive, or use the website in violation of the Acceptable Use Policy.


User Submissions
You retain rights in materials you submit. You grant Solerta a nonexclusive license to host, transmit, reproduce, analyze, and use submissions as necessary to respond, provide requested features, secure the website, and administer the relationship. You represent that you have authority to submit them and that they do not violate law or rights. Do not send unsolicited trade secrets or confidential ideas without an NDA or service agreement.
Copyright complaints may be sent to solutions@solerta.ai. Include identification of the copyrighted work, the challenged material and its location, your contact information, a good-faith statement, an accuracy-and-authority statement under penalty of perjury, and a physical or electronic signature.


Intellectual Property
The website, branding, software, designs, text, graphics, methods, demonstrations, and other content are owned by Solerta or its licensors and protected by intellectual-property laws. Solerta and associated names, logos, and marks may be pending, registered, or common-law marks. No right is granted except limited website access. You may not copy, modify, publish, distribute, sell, or create derivative works without written permission or applicable law.


Third-Party Links and Services
The website may link to or integrate with third-party sites, payment processors, scheduling, models, social platforms, analytics, or other services. They are controlled by their providers and governed by separate terms and privacy practices. We are not responsible for third-party content, security, availability, or transactions.


No Professional Advice or Guaranteed Results
Website content and AI output are not legal, accounting, tax, medical, cybersecurity, investment, employment, or other licensed advice. Assessments and examples do not guarantee savings, revenue, return on investment, leads, rankings, compliance, security, or implementation success. Decisions should be reviewed by qualified professionals and accountable business personnel.


Disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND PUBLIC FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT CONTENT OR OUTPUTS ARE COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR YOUR PURPOSE.


Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLERTA AND ITS PERSONNEL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS, DATA, BUSINESS, OR GOODWILL ARISING FROM THE PUBLIC WEBSITE. SOLERTA'S TOTAL LIABILITY FOR A PUBLIC-WEBSITE CLAIM WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID SOLERTA FOR THE SPECIFIC PUBLIC FEATURE DURING THE SIX MONTHS BEFORE THE CLAIM. Limits do not apply where prohibited by law.


Indemnity
You will defend and indemnify Solerta and its personnel from third-party claims arising from your submissions, unlawful or prohibited use, violation of rights, or breach of these Terms, except to the extent caused by Solerta's gross negligence or willful misconduct.


Governing Law and Disputes
California law governs these Terms. Before filing a claim, you and Solerta will attempt good-faith informal resolution for thirty days. Any arbitration provision applicable to a paid service will be contained in the purchasing agreement. For public website claims not governed by another agreement or enforceable arbitration provision, exclusive venue will lie in state or federal courts in Los Angeles County, California, unless law requires otherwise.
